This contract is between Now Citizens (the "Business") and __________(the "Client") dated ________.

The Client is hiring Now Citizens for the services described in this contract. Now Citizens and the Client agree as follows:

SERVICE PLAN PURCHASED

ELITE | COMPASS | BASIC

PAYMENT PLAN (IF APPLICABLE)

The Client shall pay a total of $________ to Now Citizens, excluding taxes and fees. The payments shall be broken down as follows:

20% of the total price shall be considered a non-refundable deposit.

The remaining balance shall be paid in monthly installments of $______ for __ month(s) on the first of every month until the balance is paid in full. By choosing a payment plan, The Client allows Now Citizens to automatically charge the card on file.

DEFAULT

The Client’s failure to make a timely payment when due shall constitute a material default under this Contract:

REMEDIES ON DEFAULT

In addition to any and all other rights a party may have available according to law, if a party defaults by failing to perform any provision, term or condition of this Contract (including without limitation the failure to make a monetary payment when due), the other party may terminate the Contract by providing written notice to the defaulting party. This notice shall describe with sufficient detail the nature of the default. The party receiving such notice shall have 15 days from the effective date of such notice to cure the default(s). Unless waived by a party providing notice, the failure to cure the default(s) within such time period shall result in the automatic termination of this Contract.

REFUND POLICY FOR ELITE PLAN AND ELITE SHORT & SIMPLE PLAN ONLY, NO REFUNDS ON COMPASS OR BASIC PLANS

As every case is unique, we cannot guarantee that dual citizenship will be obtained in your case. Now Citizens is a team of genealogists specializing in document retrieval as required for the Italian Citizenship process via Jure Sanguinis. Only the Italian government can process your citizenship file. In the event that you do not receive dual citizenship, Now Citizens shall refund your account in full, with the exception of the 20% non-refundable deposit (see section titled PAYMENT). However, the Client shall not receive a refund under the following circumstances:

• The Client chose a payment plan and miss one or more payments, the Client will not receive any refund.

• The Client refuses to seek legal counsel if determined necessary.

• The Client fails to authorize Now Citizens to obtain all necessary vital records for your file via limited power of attorney.

• A court order is required to obtain vital records for the Client and they refuse to file the order, or refuse to hire a third-party attorney to represent the order.

• The Client refuses or misses their second or third appointment if necessary.

• A government entity refuses to issue a required family member’s document using the Client’s power of attorney, and the Client’s family member refuses to authorize or assist Now Citizens to obtain the document.

• The Client's file was known to be difficult and proceeded with Now Citizens' services anyway.

• Changes in Italian legislation which might impact your eligibility or require you to apply at a different location, under different circumstances, or with additional requirements.

• The Client's file requires an attorney to complete the citizenship process, but the Client chooses not to proceed.

• The Client attempts a 1948 Case or other judicial process and is denied Italian citizenship by a judge.

The Client's receipt of all documents collected by Now Citizens as required by the location chosen by the Client shall be considered as Now Citizens' completion of the contracted services. No refunds or monetary compensation will be considered after Now Citizens contracted services have been completed.

GOVERNMENTAL AND THIRD-PARTY FEES

Governmental and third-party fees are not included with the purchase of Italian Now LLC’s services. All governmental and third-party fees will be invoiced to the Client. On the Elite Plan, all governmental and third-party fees must be paid by the Client in full before any items will be mailed to the Client.

NOW CITIZENS IS NOT A LAW FIRM

Now Citizens is a team of genealogists. Now Citizens' primary goal is to obtain the records necessary for your citizenship process. Now Citizens cannot provide legal representation if an attorney is required to complete your citizenship. Now Citizens can hire legal counsel at an added expense to the Client if necessary to obtain vital records via court order for your file. Now Citizens can also provide recommendations to citizenship attorneys when necessary for one to complete your citizenship process.

MANDATORY BINDING ARBITRATION AGREEMENT

The Client agrees that Italian Now LLC DBA Now Citizens will not be sued under this Contract. In the event that the Client or Now Citizens have any dispute for any reason under this Contract, arbitration of the issues will be the sole remedy.

The Client or Now Citizens may demand arbitration for any dispute, controversy, question, or disagreement that may arise out of this Contract. The Client or Now Citizens further agree to abide by the decision of the arbitrator as the first, last, and only judge of such disputes.

The following procedures will be used:
Upon written request from either the Client or us, each party will select an arbitrator. The two (2) arbitrators will select a third arbitrator. If they cannot agree on the third arbitrator within thirty (30) days, the judge of a court having jurisdiction will appoint the third arbitrator. The Client will pay for the arbitrator that the Client selects, and Now Citizens will pay for the arbitrator that Now Citizens selects. The expense of the third arbitrator will be shared equally. All other expenses will be paid by the party incurring them.

Arbitration will take place in the State of Florida, and the Arbitration will take place in compliance with Florida Law.

Arbitration shall be the exclusive remedy for the settlement of disputes arising under this contract or out of it, including all claims for extracontractual and punitive damages. The decision of the arbitrators shall be final, conclusive, and binding and no action at law or in equity may be instituted by either party other than to enforce an award of the arbitrators, except as specifically provided for under Florida Law.

ENTIRE CONTRACT

This Contract contains the entire agreement of the parties regarding the subject matter of this Contract, and there are no other promises or conditions in any other agreement whether oral or written. This Contract supersedes any prior written or oral agreements

AMENDMENT

This Contract may be modified or amended if the amendment is made in writing and signed by both parties.

SEVERABILITY

If any provision of this Contract shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Contract is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

WAIVER OF CONTRACTUAL RIGHT

The failure of either party to enforce any provision of this Contract shall not be construed as a waiver or limitation of that party’s right to subsequently enforce and compel strict compliance with every provision of this Contract.

APPLICABLE LAW

This Contract shall be governed by the laws of the State of Florida.
